Invoicing clients outside Upwork: what is allowed, the conversion fee, and how to bill direct clients
When you may invoice a client directly instead of through Upwork, how Upwork’s conversion fee is calculated (13.5% of a year at the hourly rate), what protection you give up, and a step-by-step way to invoice and get paid by direct clients.
Short answer: if you met the client on Upwork, Upwork’s terms require all work and payments to stay on Upwork for two years. You can move off earlier only by paying Upwork’s conversion fee, or if the client was yours before Upwork. Clients you found yourself are yours to invoice directly — and then the invoice, the payment terms and the follow-up are all on you.
Can I invoice an Upwork client directly?
Not freely. Upwork’s Help Center says that when you find someone through Upwork, its Terms of Service require you to keep all work and payments on Upwork for the first two years. Paying outside Upwork without the conversion fee is what Upwork calls circumvention, a violation of Section 7 of its User Agreement, and its stated penalty is account suspension with no return to Upwork.
Upwork names two exceptions, when moving off the platform is allowed:
- The conversion fee has been paid for that client relationship.
- The relationship started outside Upwork, came onto Upwork, and then left again — including clients you brought through Upwork’s “Bring Your Own” programs.
Asking an Upwork client to pay you by bank transfer “just this once” is not one of the exceptions. Neither is invoicing them from another tool while the contract stays open on Upwork.
How much is Upwork’s conversion fee?
Upwork charges 13.5% of the freelancer’s estimated annual earnings with that client, worked out as the hourly rate × 2,080 hours (52 weeks × 40 hours). For hourly contracts Upwork uses the highest rate on contracts between the two of you; for fixed-price work it uses the rate on your profile. It is a one-time payment.
| Hourly rate used | Annual estimate (× 2,080) | Conversion fee (13.5%) |
|---|---|---|
| $15 | $31,200 | $4,212 |
| $30 (Upwork’s own example) | $62,400 | $8,424 |
| $50 (Upwork’s own example) | $104,000 | $14,040 |
The fee only makes sense for a long, steady relationship. For a client worth a few hundred dollars a month, staying on Upwork until the two years are up is usually cheaper. Check the current figure on Upwork’s Help Center before you decide; the sources are linked at the end.
What do you give up by billing directly?
Upwork says that once a relationship leaves the platform it no longer offers support, payment protection or dispute resolution. You collect your own money and chase your own late payments. Direct billing pays off only if your invoice does the job the platform did: clear terms, a due date, an easy way to pay, and a follow-up plan decided in advance.
| On Upwork | Direct client | |
|---|---|---|
| Who sends the bill | Upwork, from your contract | You, with your own invoice |
| Payment protection | Upwork’s protection and disputes | Your terms: deposit, milestones, due date |
| How you get paid | Upwork withdrawal | Bank, Payoneer, Wise or local wallet details on the invoice |
| Chasing late payment | Platform tools | Your own reminders |
| Fees | Upwork service fees | Only what your bank or payment service charges |
How do I invoice a direct client, step by step?
- Agree terms in writing first. Scope, price, currency, payment method and due date (for example Net 7 or Net 15). For new clients, ask for a deposit or bill per milestone.
- Make the invoice complete. Your name and contact, the client’s legal name, an invoice number, the date, a due date, line items, the total with its currency, and how to pay. A step-by-step guide to the fields is here.
- Put the payment details on the invoice. Bank details, a Payoneer payment request or Wise account details, so the client never has to ask. See how to get paid via Payoneer or Wise.
- Send it where the client reads. Email for accounts teams; a link on WhatsApp for clients who live there — how to send an invoice on WhatsApp.
- Schedule the follow-up. A friendly reminder before the due date, a firm one on the day, a final notice after — copyable reminder templates.
- Record the payment when it lands, including part payments, so you always know what is still owed.
Where do direct clients come from?
The clean route is clients who never met you on a marketplace: referrals from past clients, your own site or portfolio, LinkedIn, communities in your niche, and local businesses. Those you can invoice directly from day one. Keep a simple record of where each client first found you; if a question ever comes up, it settles it.

Frequently asked
Can I take a client off Upwork?
Only on Upwork’s terms. Upwork requires work and payments with clients you met there to stay on Upwork for the first two years, unless you pay its conversion fee or the relationship started outside Upwork. Moving off without either is circumvention, which Upwork says leads to account suspension.
How is the Upwork conversion fee calculated?
Upwork charges 13.5% of the freelancer’s estimated annual earnings: the hourly rate × 2,080 hours. At $30 an hour that is $62,400 a year and an $8,424 fee, per Upwork’s Help Center. Hourly contracts use the highest rate between the two of you; fixed-price contracts use your profile rate.
Can I invoice a client I brought to Upwork myself?
Yes. Upwork lists a relationship that started outside the platform, came onto Upwork and then left again — including through its “Bring Your Own” programs — as an exception that is not circumvention.
What should an invoice to a direct client include?
Your details and the client’s, an invoice number, issue and due dates, line items, the total with its currency, and payment details (bank, Payoneer or Wise). For new clients add a deposit or milestone terms, since there is no platform protecting the payment.
